We often represent businesses based outside the US in connection with their US-based business operations. This may be in connection with a particular transaction in the U.S. or in an ongoing role to assist with ongoing legal issues connected with launching or expanding US based operations.

Some of our clients have relationships with large firms in their home countries, others have in-house counsel at home, and others periodically use small or mid-sized firms in their home locations. For all these clients we offer an efficient way to manage US-based legal risk in concert with the work being done by home country counsel. We do this at manageable monthly fixed rates for all US general counsel services for these clients, or based on negotiated flat fees for certain projects.

As part of our outside general counsel services, we help our clients negotiate, coordinate and oversee:

  • Commercial contracts, licensing agreements and strategic transactions
  • Mergers and Acquisitions with US businesses
  • Corporate governance, board and shareholder resolutions, consents, directors meetings, shareholder meetings, and minutes
  • Capital raises
  • Coordinating with US-based tax advisors on transaction-related tax issues
